These Terms and Conditions ("Terms") govern your use of the services provided by Koinpr (“Company”) through its platform located at www.koinpr.com ("Website") and associated services/subdomains, including}^Marketplace^,^{Koinpr EOD}^{, and}^{Koinpr One}^{. By using the Website or any of the services, you agree to be bound by these Terms.}

1. Introduction

Koinpr provides services in cryptocurrency and blockchain marketing. Our offerings include:

Marketplace: A platform connecting Advertisers and Publishers for tailored marketing campaigns.
Koinpr EOD (Expertise On-Demand): Subscription-based service offering rapid execution by over 15 marketing expertise.
Koinpr One: A dedicated partnership model focusing on achieving infinite results through strategic collaboration.

These Terms apply to all users of our services, including Advertisers, Publishers, and Clients. Additional product-specific terms may apply and will be provided separately.

2. Definitions

Advertisers: Clients promoting their products, services, or platforms.
Publishers: Businesses/Individuals offering advertising space or content promotion.
Client: An individual or business using any Koinpr service.
KPR Metric: A proprietary measure of credibility used to assess publishers.
User Account: An account registered on the Koinpr platform to access services.

3. Account Registration

To access services, you must create an account by providing accurate and complete information. You are responsible for maintaining the security of your account credentials.
KYC Compliance: Users must undergo Know Your Customer (KYC) verification. Failure to complete or update KYC information may result in account suspension or termination.
You may not:
- Use automated means (bots, scripts) to interact with the platform.
- Create multiple accounts for the same entity without proper authorization.

4. General Usage

Eligibility: Services are available to users 18 years or older. Legal entities must have the authority to act on behalf of their organization.
Prohibited Activities:
- Fraudulent behavior, including generating artificial traffic or engaging in spam activities.
- Promoting illegal, deceptive, or harmful content.
- Any activity violating intellectual property rights.
Suspension and Termination: Koinpr reserves the right to restrict or terminate your access if you violate these Terms or engage in harmful activities.

5. Marketplace Policies

5.1 Website Acceptance

Eligibility Criteria for Publishers:
- Publishers must own websites that are functional, accessible, and primarily focused on cryptocurrency, finance, or blockchain-related content.
- Websites must not host or link to illegal, fraudulent, or harmful content, including but not limited to: spam, malware, hate speech, or deceptive investment opportunities.
- Websites must adhere to high-quality standards, including original content, functional navigation, and absence of excessive advertisements.
Campaign Content Review:
- Advertisers’ landing pages and promotional materials must comply with applicable laws and these Terms.
- All banners, links, and content must be free of misleading claims, explicit material, or unauthorized usage of third-party intellectual property.
Rejection and Appeals:
- Koinpr reserves the right to reject websites or campaigns that do not meet eligibility criteria. Publishers may request a second review after addressing the stated issues.

5.2 Special Clauses for Advertisers

Campaign Guidelines:
- Advertisers are responsible for ensuring all promotional content adheres to these Terms.
- Advertisers must ensure landing pages are operational, accurate, and free from malicious code.
- Any claims made in advertisements must be substantiated and not misleading.
Pricing and Payments:
- Campaign costs will be determined based on the services chosen.
- Advertisers are required to prepay for all campaigns/services.
Refund Policy:
- All payments made by Advertisers are non-refundable. Exceptions may be considered for technical issues solely attributable to Koinpr.
Campaign Suspension:
- Koinpr reserves the right to suspend campaigns if malicious activity is detected or if the Advertiser fails to comply with these Terms. No refund will be initiated.
‍Publisher Suspension/Issue: If a selected publisher in the campaign fails to deliver or is suspended, Koinpr will make reasonable efforts to recover the funds from the publisher within 30 days. If the recovery is unsuccessful, Koinpr will compensate the advertiser with either an alternative service from a Koinpr-approved publisher, selected exclusively by Koinpr, or a Koinpr EOD subscription of equivalent value.

5.3 Special Clauses for Publishers

Banner Placement:
- Publishers must place banners in high-visibility areas, ensuring no distortion or obfuscation of content.
- Publishers are prohibited from using automated methods to refresh banners or artificially increase impressions.
Content Integrity:
- Publishers must ensure the advertised content remains live for the duration of the contractual agreement unless valid reasons for removal are provided (e.g., advertiser fraud, project inactivity).
- Unauthorized removal of sponsored content will result in penalties, including full reimbursement to Koinpr.
Prohibited Practices:
- Publishers may not use traffic-exchange systems, bots, or other unethical methods to generate traffic.
- Publishers must notify Koinpr immediately if their website content changes in a way that may impact campaigns.
Revenue and Payments:
- Payments to publishers will be processed as per the request raised from the dashboard, subject to a minimum payout threshold of $50.
- Any detected fraudulent activity will result in withheld or reclaimed payments.

5.4 Campaign Data and Reporting

Tracking and Transparency:
- All campaigns will be tracked and monitored using Koinpr’s proprietary tools.
- Advertisers and Publishers will have access to performance data from dashboard (coming soon).
Data Retention:
- Campaign data will be retained for one year. Users are encouraged to request relevant reports within this period.

6. Koinpr EOD/One Policies

By subscribing to Koinpr Services (EOD/ONE), the client acknowledges and agrees to these terms.

Clients will receive access to software tools for tracking ongoing activities, including time tracking. If time tracking is affected due to software issues, an Excel report will be generated based on the requirement.
Koinpr EOD is a subscription-based service with a minimum commitment of two (2) months or the total allotted hours, whichever is completed earlier. Activities will be structured based on the plan selected at the time of subscription in coordination with the assigned marketing manager. Any changes to the scope of work after the plan is set must be discussed and may impact timelines and deliverables.
Each Koinpr EOD plan has its own reporting schedule - weekly, bi-weekly, or monthly. Reports will be provided strictly as per the designated reporting frequency of the selected plan.
Upon subscription, a customized marketing execution plan will be created with the marketing manager based on the client’s objectives. Plan modifications may be requested during the subscription term, but major revisions or new activity requests outside the agreed scope may require additional time and costs.
Each Koinpr EOD subscription plan includes a limited number of non-billable consultation hours per month for strategy discussions, progress updates, and alignment meetings. The allocated consultation time is based on the selected plan, with elite plans including up to three (3) hours per month, advance plans including up to two (2) hours per month, and basic plans including up to one (1) hour per month. Any additional meeting time beyond these limits will be deducted from the subscribed execution hours. Clients are encouraged to utilize internal messaging and tools for regular updates to optimize execution time.
Clients may need to provide access to platforms essential for execution, such as Website Admin, Google Analytics, Hotjar, Ad Platforms, or other relevant software. Failure to provide timely access may delay execution, and Koinpr will not be held responsible for such delays.
Service fees must be paid in advance, and invoices are non-refundable for the subscribed months. Any delay in payment will result in the suspension of marketing execution. Payment options include 50% Crypto & 50% Fiat, 100% Crypto, or 100% Fiat (subject to a 4.5% processing fee on fiat payments via stripe and 2% via bank).
Koinpr EOD does not cover third-party ad spend or platform costs. Any external budget required for advertising, influencer payments, paid PR, or other third-party services must be funded upfront by the client.
After payment confirmation, the service will commence within 3-5 business days, and the client will receive an email confirmation with access to relevant software tools.
Koinpr follows a strict integrity and compliance policy. If the client’s project is found to be involved in fraudulent, deceptive, or scam-related activities, Koinpr reserves the right to immediately halt all marketing execution without prior notice. No refunds will be issued for services rendered up to the termination point. Koinpr is not liable for any consequences arising from such activities.

7. Payment Terms

Currency and Methods:
- Payments are accepted in Fiat or cryptocurrencies.
- Any exchange fees or transfer charges are borne by the user.
Invoice Issuance:
- Clients will receive invoices for all services rendered. Payment must be made within the stipulated period.
Non-Payment:
- Failure to make timely payments may result in service suspension or termination.

8. Intellectual Property Rights

Ownership and Licensing:
- Koinpr retains full ownership of the platform, its tools, and the proprietary KPR Metric.
- Users grant Koinpr a non-exclusive, royalty-free license to use any content provided for the execution of services, including but not limited to banners, images, and promotional materials.
User Responsibilities:
- Advertisers and Publishers represent and warrant that they own or have rights to use all intellectual property provided for campaigns.
- Users are prohibited from reproducing, distributing, modifying, or reverse-engineering any part of the Koinpr platform without prior written consent.
Third-Party Content:
- Users must ensure that content does not infringe upon the intellectual property rights of third parties. Koinpr reserves the right to suspend or terminate services involving infringing materials.
Enforcement:
- In cases of disputes over intellectual property, Koinpr reserves the right to take appropriate legal action to protect its rights and the rights of affected parties.

9. Confidentiality

Users agree to maintain the confidentiality of sensitive information exchanged during service engagements.
Disclosure is permitted only when required by law or with prior written consent from the other party.

10. Limitation of Liability

Scope of Liability:
- Koinpr is not liable for indirect, incidental, or consequential damages, including but not limited to loss of profits, data, or goodwill, arising from the use or inability to use its services.
- Liability is strictly limited to the amount paid by the client for the specific service in question.
Exclusions:
- Koinpr does not guarantee uninterrupted or error-free operation of its platform or services.
- The Company is not responsible for issues caused by third-party services, including but not limited to payment processors, hosting providers and partners.
Force Majeure:
- Koinpr shall not be held liable for any failure to perform its obligations due to events beyond its reasonable control, including natural disasters, legal or regulatory changes, strikes, or technical disruptions.

11. Termination and Modifications

Publisher-Initiated Termination:
- May terminate their account by providing 30 days' notice. Any outstanding payments must be settled.
Company-Initiated Termination:
- Koinpr may terminate services immediately for breaches of these Terms.
Modifications:
- Koinpr reserves the right to amend these Terms.

12. Dispute Resolution

Governing Law:
- These Terms are governed by the laws of Gurugram, Haryana, India.
Arbitration:
- Disputes will be resolved through binding arbitration in Gurugram, Haryana, India.
